JONAS OBODAI TORTO & ANOR. vs. STANLEY ANYETEI NUNOO & ORS
The appellants, claiming as Executive Council Members of the La Dadekotopon Youth Association (a company limited by guarantee), sued the respondents seeking declarations that the 1st and 2nd defendants were not members or officers of the Association, orders to expunge their names from the Registrar of Companies, an accounting of monies from La Pleasure Beach, and injunctions restraining the 1st defendant from acting as an officer. The respondents contended that the appellants were disgruntled former members and that the 1st and 2nd defendants were duly registered and recognized members and officers. The appellants alleged forgery of their signatures and fraudulent registration by the respondents and the Registrar of Companies. The High Court dismissed the suit as frivolous, vexatious, and an abuse of process, awarding costs to the respondents.
